Quotations provided by the Company remain valid for thirty (30) calendar days from the date of issue unless an alternative validity period is explicitly stated in writing.

Upon mutual confirmation and fulfillment of any applicable initial deposit or advance payment terms, SKY LET CONSULTANCY LIMITED schedules and commences active project execution. Once work has commenced, engineering hours, technical resources, and third-party commitments are actively expended on the Customer's behalf.

09 Customer Responsibilities & Cooperation

The successful execution and delivery of Services depend on active collaboration. The Customer agrees to:

• Provide all necessary content, copy, brand guidelines, credentials, assets, and data in a timely and structured manner.
• Designate an authorized representative with decision-making authority for approvals and feedback.
• Review project milestones and provide consolidated feedback within five (5) business days of receiving milestone deliverables.
• Ensure that all materials provided to the Company do not infringe upon any third-party intellectual property rights or violate applicable laws.

10 Invoicing, Payments & Taxes

Invoices are issued in accordance with the payment schedule detailed in the approved Quotation or Statement of Work. Unless otherwise specified, invoices are due within seven (7) calendar days from issuance. Payments must be remitted in the invoiced currency through our approved payment methods. All fees are exclusive of applicable value-added tax (VAT), sales tax, withholding tax, or other governmental levies, which shall be payable by the Customer where permitted by applicable law.

11 Advance Payments & Third-Party Commitments

Certain services require advance payment because SKY LET CONSULTANCY LIMITED may need to pay third-party providers, software platforms, cloud infrastructure providers, advertising networks, font foundries, or data providers in advance. Where an advance payment has already been disbursed to a third party or where a service has already been activated, purchased, consumed, or committed on behalf of the Customer, the corresponding amount is non-recoverable and non-refundable to the fullest extent permitted by applicable law.

12 Pay-As-You-Go & Usage-Based Services

Where services operate on a pay-as-you-go or usage-metered basis (such as ongoing cloud compute, dynamic maintenance hours, API token usage, or programmatic advertising management), charges accrue according to actual consumption. The Customer is responsible for all usage charges incurred up to the exact moment of cancellation or formal service pause.

13 Third-Party Platforms, APIs & Software Services

Our solutions may interface with or utilize third-party tools (e.g., payment processors, hosting providers, AI APIs, analytics frameworks). SKY LET CONSULTANCY LIMITED does not control and is not liable for third-party service interruptions, policy changes, price increases, API deprecations, or outages initiated by such external entities.

14 Project Changes, Scope Variations & Additional Work

Any request by the Customer to modify the agreed scope, add new features, adjust design specifications, or expand deliverables will be treated as a Change Request. We will provide a supplementary quotation detailing the timeline and cost implications. Work on changes will begin only after written confirmation from both parties.

15 Delivery Timelines & Milestone Delivery

Project schedules and delivery estimates are established in good faith based on technical complexity and resource allocation. While we make every commercial effort to adhere strictly to agreed milestones, delivery timelines are dependent upon timely client feedback, asset submissions, and third-party dependencies.

16 Delays Caused by Customer & Standby Provisions

If project progress is delayed for more than twenty-one (21) consecutive days due to the Customer's failure to provide required assets, approvals, or feedback, SKY LET CONSULTANCY LIMITED reserves the right to place the project on hold, adjust the delivery schedule upon resumption, or invoice for work completed to date.

17 Intellectual Property Rights & Deliverables Transfer

Subject to full and final payment of all agreed fees, SKY LET CONSULTANCY LIMITED assigns to the Customer all proprietary rights, title, and interest in the bespoke custom Deliverables created specifically for the project. The Company retains ownership of its pre-existing code libraries, developer tooling, proprietary frameworks, and generalized architectural methodologies used during creation.

18 Customer-Provided Materials & Warranties

The Customer grants the Company a revocable, non-exclusive license to use, reproduce, and adapt all customer-supplied logos, texts, photographs, videos, and data solely for the purpose of executing the Services. The Customer warrants that it holds all necessary licenses and permissions for any materials supplied.

19 Confidentiality & Non-Disclosure

Both parties agree to hold in strict confidence all non-public technical, commercial, financial, and strategic information disclosed during the engagement. Confidential Information shall not be disclosed to any third party without prior written consent, except to employees, subcontractors, or legal advisors bound by equivalent confidentiality obligations, or as required by court order.

Where client accounts, dashboard portals, or administrative credentials are provided, you are responsible for maintaining the confidentiality of your login details and for all activities that occur under your account. You must notify us immediately of any suspected unauthorized access or security breach.

Once both parties have confirmed the project scope and SKY LET CONSULTANCY LIMITED has commenced execution, a full refund may no longer be available. Any approved refund will be adjusted to account for the value of services performed, time allocated, usage incurred, and non-recoverable third-party commitments.

27 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SKY LET CONSULTANCY LIMITED, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity arising from or related to the Services.

To the extent permitted by applicable law, the Company's aggregate liability arising out of or relating to any engagement shall not exceed the total fees actually paid by the Customer to the Company under the specific Statement of Work giving rise to the claim in the twelve (12) months preceding the event.

28 Indemnification

The Customer agrees to indemnify, defend, and hold harmless SKY LET CONSULTANCY LIMITED and its officers, directors, and agents against any third-party claims, damages, liabilities, and expenses (including reasonable legal fees) arising from the Customer's breach of these Terms, misuse of Services, or infringement of third-party rights through materials supplied by the Customer.

29 Force Majeure

Neither party shall be liable for any delay or failure in performing its obligations (other than payment obligations) if such delay or failure results from events beyond its reasonable control, including acts of God, war, labor disputes, power outages, cyberattacks, governmental restrictions, epidemics, or telecommunication failures.

30 Suspension & Termination

We reserve the right to suspend or terminate service delivery or account access immediately if the Customer fails to settle overdue invoices after formal notice, materially breaches any provision of these Terms, or engages in unlawful or abusive conduct.

31 Dispute Resolution & Negotiation

In the event of any controversy, claim, or dispute arising out of or relating to these Terms, the parties shall first attempt in good faith to resolve the dispute through direct commercial discussions between executive representatives for a minimum period of thirty (30) calendar days prior to initiating formal legal proceedings.

32 Governing Law & Jurisdiction

These Terms & Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
